Power of Attorney in Turkey for Foreigners: Scope, Signing and Safeguards

Power of attorney signing documents with a lawyer in Turkey

A power of attorney, or vekaletname, allows a representative to carry out authorised acts on your behalf in Turkey. It can be used for property transactions, company matters and legal proceedings, including when the person granting authority is abroad.

The important question is not simply whether the document can be notarised. It is whether it grants the necessary authority in an acceptable form, without giving control that the transaction does not require. The proposed wording should be reviewed before the signing appointment.

1.Can a Foreigner Issue a Power of Attorney for Turkey?

Yes. Depending on the circumstances, a foreign individual may sign before a Turkish notary, at a Turkish consulate abroad or before a competent foreign authority. The suitable route depends on where the person is located, the intended transaction and the requirements of the receiving institution.

A power of attorney does not remove the underlying conditions of the transaction. It cannot make an ineligible property acquisition lawful or require a bank to approve an account. Nor does it replace the client engagement agreement: the authority to act and the professional services agreed with a lawyer serve different purposes.

2.How Much Authority Should the Representative Receive?

The wording should follow the intended work. A document described as a general power of attorney may still lack a required express power, while a broad template may include permissions that the client never intended to grant. The title of the document is less important than its operative provisions.

For a one-off transaction, consider identifying the property, company, proceeding or institution involved. Authority to sell, receive money, borrow, create security or appoint another representative should be addressed deliberately. Limits must also be workable for the proposed transaction; excessive restriction can require a second appointment and a new document.

Agree reporting and approval arrangements alongside the formal wording. An instruction sent privately to a representative should not be assumed to provide the same protection against third parties as a limitation properly reflected in the authority itself.

3.Where Should the Power of Attorney Be Signed?

The signing route should be selected before arranging translations or authentication. Confirm the draft and supporting documents with the relevant notary or consulate, and check the intended institution's requirements. Where language assistance is needed, arrange the accepted interpreter rather than relying on an informal translation of the document.

No route makes a generic document suitable for every transaction. Confirm both the form and the scope before the appointment.

The Ministry of Foreign Affairs' guidance allows consular powers of attorney for foreign private individuals, subject to the relevant identity and language requirements. It also distinguishes foreign-law companies, for which Turkish consulates do not issue representative powers of attorney. A company file therefore needs its own route assessment.

For an eligible foreign public document, the Apostille Convention replaces the traditional legalisation chain with an apostille from the competent authority in the country of origin. Check whether the Convention applies between the relevant states and to the document. Authentication does not supply missing transaction powers. The HCCH's official guidance also recognises e-Apostilles; an ordinary scanned document should not be confused with an officially issued electronic apostille.

A Turkish translation and any required certification must be planned with the original document. Names, passport details and corporate identities should remain consistent throughout. A review copy can be sent electronically, but the original or officially accepted electronic form needed for the transaction should be confirmed before completion is scheduled.

The signing route and required powers should be reviewed before the notary or consular appointment.

4.What Matters in a Property Power of Attorney?

Buying, selling and mortgaging property are different acts. The document should expressly cover the intended transaction and the necessary related steps, without treating every additional power as routine. If the representative is also connected with the seller or agent, any conflict of interest needs separate consideration.

For foreign-issued property powers of attorney, TKGM's published requirements address the issuing authority, authentication, photograph, transaction authority and Turkish translation. A foreign document that is sufficient for an ordinary administrative task should not be presumed sufficient for a title-deed transfer. For the use of these powers in an inheritance case, see registration of inherited property.

Before the appointment: have the proposed wording checked against the actual property transaction. Do not wait until the title-transfer date to discover that authority to sign, handle a required declaration or complete a related step is missing. Payment arrangements should also be reviewed separately; our guide to sending money for a Turkish property purchase explains the main safeguards.

Property authority should be checked against the intended title transaction and payment arrangements.

5.Can a Power of Attorney Cover Company and Banking Matters?

It can cover appropriate company acts, but the person granting authority must be entitled to represent the company. Corporate records and any necessary resolution should establish the connection between the company, the signatory and the appointed representative. Personal authority from a shareholder is not automatically authority from the company.

Company formation, signing commercial agreements and operating bank accounts can require different powers. Define the intended acts before preparing the document, particularly where the representative would be allowed to borrow, provide guarantees or transfer company assets.

A bank also applies its own identification and compliance requirements. Even an appropriately drafted power of attorney does not guarantee account opening or eliminate every request for the customer's participation. Confirm the proposed process with the bank before signing; see our guide to banking requirements for foreigners.

6.Does a Lawyer Need Special Authority to Settle a Case?

Yes. Article 74 of the Civil Procedure Code requires express authority for specified acts, including settlement and waiver of claims or legal remedies. A power to conduct proceedings should not be assumed to include every decision that could bring them to an end.

For litigation or debt recovery, discuss the intended proceedings and settlement instructions before the document is issued. The formal powers must support the agreed work, while the engagement should establish how offers will be reported and approved. Urgent procedural deadlines should be identified separately; preparing a power of attorney does not suspend them.

Representation in a criminal investigation while you are outside Turkey raises separate questions; see our guide to a Turkish criminal investigation from abroad.

For a type of file where the authority to mediate and settle is especially important, see tenant eviction from abroad.

7.How Can Authority Be Ended or Limited in Time?

For a defined transaction, an expiry date or a completion-based limitation may be appropriate. The wording should allow the necessary work to finish while avoiding unnecessary continuing authority. The absence of an expiry date does not mean that the representative's authority can never be withdrawn.

Where authority is to be withdrawn, arrange the appropriate revocation document and notification. The Ministry of Foreign Affairs identifies the azilname procedure through Turkish notaries or consulates. The representative and relevant institutions or counterparties may need to be notified, depending on how the power has been used.

Revocation does not automatically undo a completed transaction. If a power may have been misused, preserve the document and transaction records and seek advice promptly. The immediate response may need to address both future use and the legal consequences of acts already carried out.

8.Legal Review Before Signing

Legal Istanbul can prepare or review the proposed scope, advise on the signing and authentication route and assess whether an existing power is suitable for the intended work. Advice can also address revocation or a concern about unauthorised use.

For an initial enquiry, state where the signatory is located, whether the authority is personal or corporate, and the transaction to be completed. Mention any appointment or deadline. A document should be tailored to that task, not expanded simply because a longer template is available.

9. FAQ

Can a foreigner issue a power of attorney in Turkey?

Yes. A foreign individual can use an appropriate signing route, subject to identity, capacity, language and transaction requirements. Confirm the proposed wording before arranging the appointment.

Can I issue a Turkish power of attorney without travelling to Turkey?

Often, yes. A Turkish consular route or a document issued by a competent foreign authority may be suitable. The country, signatory and intended transaction determine the necessary formalities.

Is a general power of attorney sufficient for every transaction?

No. Some acts require express authority, and a broad template can also grant unnecessary powers. Review the actual provisions rather than relying on the document's title.

Does a power of attorney signed abroad always need an apostille?

No. The route depends on the issuing authority and applicable international arrangements. A foreign-issued document may require an apostille or a legalisation process; a Turkish consular document follows a different route.

Can a power of attorney be used to buy or sell property in Turkey?

Yes, if it expressly supports the intended transaction and meets the required form. Foreign-issued property documents need particular attention to authentication, photographs, translation and the powers granted.

Can a representative open a Turkish bank account using a power of attorney?

It depends on the bank's accepted process and the document's scope. The power does not remove identification or compliance checks, and personal participation may still be required.

Can a lawyer settle a case under an ordinary litigation power?

Settlement requires express authority under the Civil Procedure Code. The formal wording and the client's settlement instructions should be addressed before proceedings reach that stage.

Can I revoke a power of attorney for use in Turkey?

Authority can generally be withdrawn through the appropriate procedure, with notification to the representative and relevant institutions where necessary. Revocation does not automatically reverse completed acts.

Should a power of attorney have an expiry date?

An expiry date can be useful for a defined transaction, but it must leave enough time for the authorised work. The appropriate limitation depends on the task and the receiving institution's requirements.
