01 / Tax And Business Duties
Tax and Legal Compliance in Turkey
Tax responsibilities depend on who earns the income, where the activity takes place and which period is involved. A foreign passport, overseas bank account or company registration does not answer those questions by itself. The legal review should start with the actual activity and supporting records.
Legal Istanbul advises foreign individuals and businesses on tax-related legal questions, commercial arrangements and disputes. The work may concern a planned transaction, an existing business, missing records or a notice from the tax office. Accounting calculations are coordinated with the responsible accounting professional.
The main framework includes the Income Tax Law, Corporate Tax Law, VAT Law and Tax Procedure Law. Public-debt collection and court challenges follow separate rules. Company, employment and data-protection duties can apply alongside tax obligations; completing a tax registration does not complete every business requirement.
The aim of the review is to identify the position that can be supported by the facts, the records still needed and the next legal steps. It is not a promise of a particular tax saving, exemption, audit result or court outcome.
02 / Scope Of Advice
Legal Support for Tax and Compliance Matters
The engagement sets out the taxpayer, periods, transactions and procedures covered. A review of one contract does not include all historic returns or continuing deadline monitoring.
Position and Registration Review
Assessing the business model, taxpayer identity, residence questions and relevant registrations.
Transactions and Contracts
Reviewing payment terms, cross-border arrangements and the documents supporting the proposed treatment.
Notices and Disputes
Examining assessments, penalties, audit requests and available administrative or court procedures.
Continuing Legal Duties
Identifying agreed corporate, employment and data responsibilities as the business changes.
Legal representation is different from bookkeeping. Routine accounting, payroll calculations, returns and any required certification must be assigned to appropriately authorised professionals, such as an SMMM or YMM where required. A lawyer's appointment does not replace that separate professional role.
Before work begins, confirm who collects the documents, prepares calculations, approves submissions, monitors notices and makes payments. The client should receive copies of completed filings and official receipts. Responsibility should not be left unclear between the company, its accountant and its legal adviser.
03 / Starting And Operating
Tax Numbers, Registration and Business Records
A tax number identifies a person or entity in the system. It does not, by itself, establish tax residency, permission to work or registration for every tax. A shareholder's personal number is also different from the company's taxpayer identity.
| Area | Review Point | Supporting Record |
|---|---|---|
| Taxpayer identity | Correct individual or company, activity and registrations. | Identity details and tax-office records. |
| Business address | Actual use, lease terms and notified changes. | Address agreement and relevant inspection records. |
| Accounting arrangements | Authorised preparer, records and filing responsibilities. | Professional engagement and filing confirmations. |
| Official communications | Access, responsible contact and absence cover. | Electronic notification records and internal instructions. |
Check the registration against what the business actually does. Moving premises, adding a sales channel, hiring staff or beginning imports can require further steps. A virtual-office agreement is not evidence that every planned activity is suitable for that address.
The Company Formation service covers the establishment process. The tax review continues after incorporation and should include periods with little or no trading rather than assuming that no sales means no duties.
04 / Individuals And Companies
Tax Residency and Income from Other Countries
For individuals, Turkish domestic rules consider legal residence and continuous presence for more than six months in a calendar year, with statutory exceptions. Temporary departures do not automatically restart the period. A simple online 183-day count is not a complete residence assessment.
Full taxpayers are generally within scope for worldwide income; limited taxpayers are generally within scope for Turkish-source income. Exemptions, income-specific rules and an applicable tax treaty can change the result. These principles follow the Income Tax Law, including its residence exceptions.
For companies, the registered legal centre and the place where business is actually managed matter. A foreign company can also have Turkish taxable activity without a locally incorporated subsidiary. Review the people, premises, decision-making and contracts rather than relying only on the country printed on a certificate.
A treaty claim requires the relevant agreement and evidence for the particular period. Foreign tax-residence certificates, income records and tax paid abroad may be needed. Neither overseas payment nor a foreign residence permit automatically removes a Turkish obligation.
05 / The Type Of Transaction
Corporate Tax, VAT and Other Common Taxes
The following is a starting point as at 19 October 2026, not a calculation for an individual business. The applicable period, sector, transaction and any relief must be checked before a return or contract is finalised.
| Tax | General Position | What Needs Review |
|---|---|---|
| Corporate income tax | Standard rate 25%; 30% for specified financial and other listed businesses. | Taxable profit, sector, deductions and any reduced-rate conditions. |
| VAT | Standard rate 20%; listed supplies may use 10% or 1%. | Classification, place of supply, exemptions and input-tax rules. |
| Personal income tax | Progressive rates and income-specific rules. | Residence, income type, annual thresholds and filing requirements. |
| Withholding | Tax deducted by the payer where the rules require it. | Payment type, recipient status and applicable treaty conditions. |
| Stamp duty | May apply to documents within the statutory scope. | Document type, stated value, exemptions and signing arrangements. |
The headline corporate rate applies to taxable profit, not simply all money entering an account. VAT collected from customers is also different from the final VAT payable after permitted adjustments. Keep tax calculations separate from cash-flow forecasts.
The GIB corporate tax guidance and VAT rate decision explain the relevant categories. A foreign customer or foreign-currency invoice does not automatically make a supply VAT-exempt.
06 / Different Legal Tests
Minimum Tax Rules and Conditional Reliefs
The domestic 10% minimum corporate tax and the 15% global minimum tax framework are different systems. The domestic rule uses a statutory calculation with exclusions and adjustments; it is not a replacement 10% headline rate for every company.
The global framework concerns qualifying multinational groups, including a EUR 750 million consolidated-revenue test over specified earlier periods. It does not apply to every foreign-owned small business merely because the owner lives abroad. Group accounts and the current exclusions, calculations and reporting rules require specialist review.
A separate 2026 foreign-source income exemption may be relevant to qualifying individuals who become Turkish resident after the required prior non-residence and tax-status period. It is not a general exemption for all foreign nationals. Eligibility, the source of income and obtaining the required exemption document must be checked under the GIB implementation guidance.
Investment and sector incentives also have their own conditions. Record the approval, qualifying activity and continuing duties. For an eligible property purchase, consult the separate VAT Exemption service; citizenship eligibility and VAT relief are not the same test.
07 / Evidence Of Activity
Invoices, Electronic Records and Filing Duties
A bank transfer proves movement of money, not every fact needed to support an expense, refund or exemption. Keep the contract, invoice, delivery or service evidence and payment record connected to the same transaction and taxpayer.
Confirm the current e-Fatura, e-Arsiv and e-Defter requirements with the accounting professional. Different activities and taxpayer categories can have different entry conditions. Buying accounting software or sending a PDF does not itself establish that the required electronic document was properly issued.
For online sales, compare orders, invoices, returns, platform fees and payments received. The net amount transferred by a marketplace may be less than total sales because of fees or refunds. That difference needs records rather than an unexplained adjustment.
Keep original electronic files and relevant acknowledgements, not only screenshots. Agree how records will remain accessible if an employee, accountant or software provider changes. Retention periods depend on the type of record and applicable law; do not delete the underlying material simply because a return has been accepted.
Use the current GIB tax calendar for filing and payment dates. The responsible professional should confirm which entries and any official extensions apply to the taxpayer.
08 / Contracts And Group Dealings
Cross-Border Payments and Related Companies
A payment described as a service fee, loan, royalty or dividend can have different legal and tax effects. The contract, actual work, parties and supporting records must match. A general label on an invoice should not be used to hide the real transaction.
Where related companies trade with each other, prices and terms may need support under transfer-pricing rules. In plain terms, the review asks how the arrangement compares with dealings between independent businesses. Group approval alone does not prove that a charge is deductible.
Review withholding, VAT responsibilities and treaty conditions before agreeing a net payment. A clause requiring one party to bear tax can change the commercial cost without removing the payer's statutory duties. Borrowing and shareholder funding may also raise separate tax questions.
Keep evidence of what was supplied and why the local business paid for it. For a management-service charge, a one-line invoice may not explain the work, benefit or allocation between companies. The Commercial Contracts service addresses the contractual responsibilities alongside that tax review.
09 / Related Business Duties
Company Decisions, Employment and Payroll
Company records should show who can sign, approve payments and instruct advisers. A change of director, shareholder or address needs a clear handover of bank authority, official correspondence and pending work. Informal access to a company account is not the same as legal signing authority.
Employment arrangements need a separate review of the actual relationship. Calling a person a contractor does not settle their legal status. Payroll, social-security, working-time and immigration questions should be assigned to the appropriate advisers rather than treated as one tax-registration task.
Foreign ownership does not itself give a shareholder permission to work in Turkey. Where an individual will manage operations or perform services locally, review the role and applicable work-permit requirements before work starts.
Closing an office or stopping sales also requires planning. Check outstanding employee matters, contracts, tax and registry steps, record custody and access to notices. Leaving an inactive company unattended can create unresolved duties even when no new business is being conducted.
10 / Customers And Information
Data Protection and Online Business Duties
Tax compliance does not replace customer and data-protection obligations. A business may hold employee records, identity documents, payment details and customer correspondence. It should know why the information is collected, who can access it and how long it is retained.
Consent is not the only legal basis for processing personal data. The correct basis depends on the purpose and statutory conditions. Privacy notices, security measures, responses to individuals and any registration duty must be assessed separately. Overseas storage or access can also require a lawful transfer arrangement under the Personal Data Protection Law.
For online trading, align the named seller across the website, contract, invoice and payment arrangements. Review applicable consumer information, returns, marketing and platform duties for the particular sales model. Copying another website's terms may leave the real seller or procedure unclear.
A focused review can follow one transaction from order to refund. This helps reveal differences between written terms, customer communications and the records sent to the accountant. The existing online-business guide explains these connections in more detail.
11 / Official Correspondence
Electronic Notices and Tax Inspections
Under Article 107/A, electronic tax service is deemed completed at the end of the fifth day following delivery through the official system. The rule does not wait for the recipient to read an email. The current framework includes the July 2026 statutory amendment and October 2026 implementing communique.
Keep the complete document and official delivery evidence. An email alert, cropped screenshot or verbal summary may omit the act being challenged, period, amount or service date. The statutory service rule matters when calculating a response or court deadline.
For an inspection request, identify the requested records, years and delivery method. Prepare a document list, preserve originals and record what was provided. Explanations should distinguish known facts from estimates and matters that still require checking.
An information request, inspection report, assessment and payment order are different documents. Each requires its own response analysis. If false-document or other criminal allegations arise, obtain advice on that separate process before assuming that payment or an administrative agreement ends every issue.
12 / Choosing The Procedure
Corrections, Penalty Settlement and Court Claims
The appropriate route depends on the document and the legal problem. A calculation error, disputed tax treatment and overdue public debt should not be handled as if they were the same matter.
| Route | Purpose | Important Limit |
|---|---|---|
| Correction request | Address a qualifying tax error. | Not a substitute for every dispute about legal interpretation. |
| Penalty settlement | Seek agreement on eligible penalties. | Principal tax is outside the current ordinary settlement scope. |
| Tax-court claim | Challenge an appealable tax act. | Generally 30 days, unless a special period applies. |
| Payment-order challenge | Challenge public-debt collection on permitted grounds. | Generally 15 days from notification; a claim does not automatically stop collection. |
Since the 2024 amendment, ordinary tax settlement concerns eligible penalties, not negotiation of principal tax. Statutory exclusions still apply. Do not assume that requesting penalty settlement preserves the separate deadline for challenging the tax assessment.
Calculate the individual deadline from the legally relevant notification and applicable procedure. Informal correspondence is not reliable deadline protection. The settlement provisions and Administrative Procedure Law should be checked together.
13 / Financial And Procedural Effects
Penalty Reductions, Payment and Collection
Compare available options before accepting a settlement or reduction. Payment conditions and the effect on challenge rights matter as much as the headline discount. Settlement and other penalty reductions cannot simply be added together; the current rules restrict that combination.
A late or incorrect return may require a corrected filing and a review of any available voluntary-disclosure procedure. Eligibility depends on timing and the circumstances already known to the authority. Filing a correction does not automatically remove tax, interest, penalties or a separate criminal issue.
A public-debt payment order has a narrower challenge framework than a fresh assessment. Grounds include absence of the debt, partial payment or expiry of the relevant limitation period. The GIB payment-order guide confirms that collection continues unless the court grants a stay.
Where payment difficulty is the main issue, assess whether an available instalment or deferral procedure fits the debt and current conditions. Approval, interest, security and continuing payments need confirmation. A request alone is not proof that collection has stopped, and a temporary restructuring scheme should not be assumed to remain open.
14 / Preparing For Advice
Documents for a Tax and Compliance Review
Start with a clear description of the issue and relevant dates. The document request should then match the work. Sending complete records for the disputed transaction is often more useful than a large folder without dates or explanations.
| Category | Examples | Reason For Review |
|---|---|---|
| Identity and authority | Tax details, company records and signing authority. | Confirm the taxpayer and who may instruct advisers. |
| Activity and residence | Business description, travel record and relevant certificates. | Assess the connection to Turkey and another jurisdiction. |
| Transactions | Contracts, invoices, delivery evidence and bank records. | Understand the actual supply and payment. |
| Returns and accounts | Relevant filings, acknowledgements and calculations. | Compare the stated position with supporting records. |
| Dispute documents | Notices, reports, service evidence and earlier responses. | Identify the act, available procedure and urgent dates. |
Do not send passwords or unrelated customer records through an open message. Agree a suitable document-transfer method and identify any missing items. Foreign documents may require translation or certification, but those formalities should be checked before unnecessary expense is incurred.
15 / Working Arrangements
The Review Process and Professional Fees
- 01
Identify the Matter
Confirm the taxpayer, activity, period and immediate concern.
- 02
Check the Records
Review notices, contracts and available financial evidence.
- 03
Assess the Options
Explain legal routes, missing information, costs and uncertainty.
- 04
Take Agreed Steps
Prepare the agreed advice, response or authorised proceedings.
- 05
Record the Outcome
Provide completed records and confirm any continuing responsibilities.
Professional fees depend on the scope, number of periods, document volume and whether the matter is disputed. Legal fees, accounting fees, certification, translation, court expenses and the tax itself are separate items. The engagement should explain what is included and how additional work is approved.
A first review does not automatically appoint the firm to receive every future notice or bring proceedings. Urgent work and deadline responsibility require express confirmation. Where ongoing support is agreed, set a reporting schedule and a named contact within the business.
The outcome may be advice, a corrected process, an administrative application or litigation. No fixed tax saving or completion date can be promised before the records and procedure are understood.
