Debt Collection
in Turkey

Advice on unpaid debts and the available recovery procedures.
Legal representation for businesses and foreign creditors.

02 / Scope Of Work

Debt Collection and Creditor Representation

The engagement can cover an initial assessment, a defined collection stage or continuing representation. The scope should distinguish negotiations, enforcement, court proceedings and any urgent asset-protection application.

01

Claim Assessment

Reviewing the parties, agreement, outstanding balance, performance evidence and likely objections.

02

Demands and Settlement

Preparing payment demands and reviewing repayment terms, signing powers and consequences of default.

03

Enforcement and Claims

Selecting the available procedure and addressing payment orders, objections, mediation and court work.

04

Asset Protection

Assessing lawful asset enquiries, possible precautionary attachment and the steps needed to maintain protection.

Instructions should identify who may approve expenses, accept settlement terms and provide urgent decisions. An overseas finance team may manage invoices without having authority to settle the company's claim.

Legal Istanbul acts for the agreed client, not opposing parties in the same dispute. Where a debtor seeks advice on a payment order, representation requires a separate conflict and scope review. Receiving an enquiry alone does not mean that responsibility for a deadline has been accepted.

03 / Preparing The Claim

Evidence of the Debt and the Outstanding Amount

Start with the contract or accepted order. Add the invoices, delivery records, service reports and payment history that explain the claim. For goods, transport and receipt documents may be important. For services, approval of completed work may explain more than an invoice alone.

Prepare a schedule showing each invoice, currency, due date, partial payment, credit and remaining balance. Keep the principal separate from interest and other amounts claimed. A total copied from accounting software may include cancelled invoices or sums that are not yet payable.

Illustrative image: invoices should be reviewed together with the agreement, performance records and payment history.

Include the debtor's complaints and the replies, even if you disagree with them. An allegation of defective goods, a price adjustment or a claim for compensation may affect the amount and route. A request for more time to pay should be kept in its full context.

Preserve original electronic messages, attachments and dates. Screenshots can help explain events, but they should not replace the underlying records where those remain available. For a payment made to a supplier who has not delivered, the supplier non-delivery guide addresses the separate question of repayment and contractual remedies.

04 / Identity And Responsibility

Identifying the Debtor and Its Legal Position

Use the exact registered company name and available registration details. A brand, group website or factory address may refer to several entities. Compare the contracting party with the names on invoices, delivery records and previous payments before starting proceedings.

A director, shareholder or parent company is not automatically liable for an ordinary company debt. A guarantee, separate undertaking or another legal basis must be assessed. The fact that someone negotiated the contract does not alone make that person the debtor.

Check material changes such as a new registered name, merger, liquidation or formal restructuring. A business may continue advertising while its legal or financial position has changed. An old trading address should not be assumed to remain suitable for formal service.

Separate reliable asset information from impressions. The presence of stock or vehicles at a workplace does not establish ownership. Likewise, registered capital is not proof that cash is available. These checks help decide whether further legal expense is proportionate to the possible recovery.

05 / Choosing The Procedure

Enforcement with or Without a Judgment

The Enforcement and Bankruptcy Law provides different procedures. The choice should follow the claim and documents, not a general assumption that one route is always faster or stronger.

Starting Points For Debt Recovery
Starting PointPossible RouteImportant Limit
Eligible overdue money claimOrdinary enforcement without a judgment.A timely objection stops the disputed enforcement.
Turkish judgment or equivalent titleEnforcement based on a judgment.Check whether it can be enforced and whether a stay applies.
Cheque or promissory noteA special procedure, if the instrument qualifies.Formal requirements and response rules differ.
Debt secured by a mortgage or pledgeReview the security-enforcement route.Priority rules and exceptions require separate assessment.
Disputed claim requiring proofCourt proceedings, with mediation where required.A judgment still requires a practical recovery route.

The contract may also contain a court or arbitration clause. Its validity and effect must be checked before filing. An address in Istanbul does not automatically make every Istanbul office or court competent.

Existing proceedings matter. Provide all file numbers and decisions so that a new step does not duplicate, contradict or overlook earlier work. Foreign judgments and arbitral awards need their own Turkish enforcement assessment.

06 / Before Proceedings

Payment Notices, Interest and Limitation Periods

A payment demand should identify the agreement, amount, due date and requested response. The correct recipient, delivery method and legal purpose matter. A formal notice establishing default is different from a routine reminder from the accounts team.

Interest requires a separate calculation. The contract, claim type, currency, default date and applicable rules may affect the amount. Do not add an overseas late-payment charge or a fixed collection percentage without checking whether it can be claimed.

Assess limitation periods before agreeing to wait. The type of debt and relevant events determine the time available. Do not assume that sending another reminder or continuing informal negotiations protects the claim from becoming time-barred.

Where there is a supported concern about assets disappearing, consider the timing of a demand alongside possible protective measures. The assessment should explain why a step is justified, rather than use threats or unsupported allegations to pressure the debtor.

07 / Procedural Deadlines

Payment Orders and Responses to an Objection

In ordinary general enforcement without a judgment, the debtor generally has seven days from service to object. A timely objection stops enforcement for the disputed part. This rule should not be applied to every type of payment order.

The creditor then needs to consider the available response. Removal of an objection before the enforcement court is a limited procedure with specific evidence requirements. A lawsuit to annul the objection allows a broader examination of the debt. They are not interchangeable.

Different Steps Have Different Time Limits
StepGeneral RuleWhat Must Be Checked
Ordinary debtor objectionGenerally seven days from service of the payment order.Proceeding type and valid service date.
Removal under Article 68Six months from notification of the objection.Qualifying documents and procedural history.
Annulment under Article 67One year from notification of the objection.Claim, service and any required mediation.
Implementing an attachment orderRequest implementation within ten days from the order.Competent office, security and later follow-up.

These are starting rules, not a deadline calculator. Article 264 imposes separate short follow-up periods for precautionary attachment. Waiting for the ordinary six-month or one-year period may therefore cause existing protection to be lost. Service issues and legally relevant suspension periods need individual review.

If you have received an order or objection, provide the full document and service record immediately. An internal email date may not be the legal starting date. Do not assume that forwarding papers to a lawyer completes the required response.

08 / Disputed Claims

Commercial Mediation and Court Proceedings

Article 5/A of the Commercial Code requires pre-action mediation for specified commercial money claims, including relevant claims to annul an enforcement objection. This is not a universal condition before opening an enforcement file. The claim and any applicable exception must be assessed.

Mediation provides an opportunity to discuss resolution; it does not require acceptance of a discount. A useful discussion needs the supported balance, decision-making authority and clear payment terms. Any agreement should be reviewed for its scope, signatures and enforceability.

If a case proceeds to court, the agreement, performance and disputed deductions may need detailed proof. Translation, accounting records or expert examination can affect cost and timing. The debtor may also raise counterclaims or argue that a different court or arbitration process should hear the dispute.

A court outcome and payment remain separate stages. Before substantial further work, reassess the likely benefit against expense and available assets. A successful claim does not automatically reimburse every legal fee or business loss.

09 / Interim Measures

Precautionary Attachment Before Final Recovery

Precautionary attachment is a court measure intended to preserve assets for a money claim. Under Article 257, the ordinary starting point is a due monetary debt not secured by a pledge or mortgage. Claims not yet due require narrower statutory grounds.

The application needs evidence linking the debtor, obligation, maturity and outstanding amount. An unpaid invoice does not automatically justify an order. Existing security and the legal conditions must be assessed. A risk of asset disposal should be described accurately where relevant, not invented or treated as a universal additional requirement.

The court may require security against loss from an unjustified attachment. This is separate from foreign-party security. An exemption from one requirement does not necessarily remove the other, and wrongful attachment can expose the creditor to compensation.

An order must be implemented through the proper office and followed by the required procedural steps. It does not itself pay the creditor or finally determine the debt. Funding and instructions should therefore be ready before applying. The precautionary attachment guide explains eligibility, implementation and continuation in more detail.

10 / Practical Collection

Asset Enquiries, Attachment and Sale

Recovery may involve bank funds, property, vehicles, receivables or other assets belonging to the debtor. The available enquiries and enforcement measures depend on the procedural stage. A lawyer cannot promise unrestricted access to private bank balances before proceedings.

Asset ownership and value must be checked separately. A business may rent its premises, lease equipment or hold stock owned by another party. Third-party claims, protected assets and prior security can limit what is available for collection.

Where sale is required, valuation, sale costs, objections and competing creditors can affect the amount ultimately received. A property advertised at a high price may leave little value for this creditor after earlier rights and expenses are considered.

Keep reporting clear: amount claimed, assets identified, measures implemented and funds actually received are different figures. Update the file after every payment. Continuing for an amount already paid can create unnecessary cost and legal exposure.

Enforcement is carried out through lawful procedures. A creditor cannot take property, instruct the debtor's bank privately or contact unrelated family members to compel payment. An ordinary unpaid debt is not, by itself, proof of fraud.

11 / Instructions From Abroad

Foreign-Creditor Documents and Security

A foreign business generally does not need to establish a Turkish subsidiary simply to pursue its own debt. It must still show its identity, the authority of the person giving instructions and the authority granted to Turkish counsel.

Documents For An Overseas Creditor
DocumentPurposeReview Point
Company recordsConfirm the creditor and its representatives.Current status and signing powers.
Power of attorneyAuthorise the agreed legal work.Required powers, certification and translation.
Debt recordsSupport the balance and underlying obligation.Originals, complete correspondence and necessary translations.
Existing decisionsIdentify earlier proceedings and their effect.Complete decision, service and finality records where relevant.

Confirm document requirements before arranging certification. An apostille authenticates the relevant official signature or seal; it does not establish that the debt is valid. Not every document needs the same form of certification.

Article 48 of Law No. 5718 provides for security from foreign parties pursuing court or enforcement proceedings, subject to applicable exemptions. Treaties and reciprocity must be checked for the particular creditor. The Ministry of Justice's 2023 guidance discusses assessment in enforcement files. Do not assume either an automatic exemption or one fixed deposit for all foreign creditors.

Much of the representation can be coordinated from abroad with suitable authority. That does not remove every possible need for documents, testimony or participation. Agree secure document exchange and who can provide instructions when a short deadline arises.

12 / Cross-Border Recovery

Foreign Judgments and Arbitral Awards

A foreign judgment does not automatically become a Turkish enforcement title. Under Law No. 5718, enforcement normally requires a decision from the competent Turkish court. Finality, proper participation in the original proceedings, public policy and other legal conditions need review.

Recognition and enforcement are not the same task. Recognition concerns the legal effect of the foreign decision; compulsory collection requires the appropriate enforcement route. Provide the complete judgment and relevant records rather than a short extract showing only the amount awarded.

Foreign arbitral awards follow a separate legal and treaty framework. The arbitration agreement, award and evidence of its status should be examined together. Do not assume that the rules for a court judgment apply unchanged to an award.

Check whether the named debtor has assets in Turkey and whether any amount has already been paid elsewhere. Coordinated proceedings must avoid double recovery. Existing overseas counsel can assist with source documents and the procedural history, while Turkish counsel assesses the local steps.

13 / Payment Arrangements

Settlement, Instalments and Release of Rights

A settlement may offer a practical route to payment, particularly where the balance is accepted but cash flow is limited. Compare the proposed terms with the realistic result of continued proceedings, not only with the face value of the claim.

Identify the amount, currency, payment dates, recipient and consequences of a missed instalment. Check who is authorised to sign and whether additional security is valid and usable. A new unsecured promise may add little if earlier promises have failed.

Decide when any discount, release or withdrawal takes effect. Giving up the original claim or releasing an attachment before cleared payment can change the creditor's position. The agreement should also address costs, interest and the treatment of partial payments.

Keep formal deadlines under review while negotiations continue. A draft agreement is not completed payment. Before closing a file, confirm the funds, remaining balance, required releases and any continuing obligations. For future transactions, the Commercial Contracts service can address payment terms and security before the relationship begins.

14 / Collective Procedures

Concordat, Bankruptcy and Competing Creditors

A court-supervised restructuring, known as concordat, can change the collection position. During the relevant protection period, new and existing enforcement may be restricted or stopped, subject to legal exceptions. The actual court decision and status of the claim must be checked.

Bankruptcy involves a collective process for creditors rather than ordinary individual recovery alone. Claim registration, priority, objections and distributions may require separate action. A previous demand or enforcement file should not be assumed to complete every step in that process.

Obtain the official announcement or decision promptly. A debtor's informal statement that it is restructuring does not establish the existence or scope of court protection. Equally, ignoring an actual order can waste expense and miss important creditor deadlines.

If assets have been transferred, a challenge may be possible under specific conditions. A sale to another business is not automatically unlawful or reversible. The timing, evidence, parties and available remedy need separate assessment before proceedings are proposed.

15 / Planning The Work

Recovery Stages, Fees and Reporting

The work should be divided into stages with a clear decision before further expense. Timing depends on service, objections, court work, asset availability and any insolvency process; no single timetable applies to every debt.

  1. 01

    Review the File

Confirm the debtor, amount, evidence, due date and existing proceedings.

  2. 02

    Agree the Route

Assess the procedure, urgency, budget and practical recovery prospects.

  3. 03

    Take the First Step

Prepare the agreed notice, negotiation or procedural application.

  4. 04

    Review the Response

Address objections, payment proposals and changes in asset information.

  5. 05

    Follow the Outcome

Record payments, necessary continuation steps and any remaining balance.

Costs To Separate In The Recovery Budget
ItemWhat It CoversPlanning Point
Professional feesThe agreed legal work and stages.Confirm whether objections, appeals and settlement work are included.
Official costsFiling, service and procedural expenses.Depend on the claim and steps taken.
Supporting workTranslation, certification, experts and asset-sale expenses.May require separate advances.
SecurityA deposit or other accepted protection where required. Not the same as a fee; release depends on the relevant rules.

The agreed fee and any amount later awarded against the debtor are separate. Successful proceedings do not guarantee recovery of every expense. Reports should explain the action taken, the next date, costs incurred and the decision needed from the client.

16 / Questions

Common Questions About Debt Collection

Can A Foreign Company Collect Without A Turkish Subsidiary?
Generally, yes. A local subsidiary is not normally needed merely to pursue the company's own claim. Authority, jurisdiction, documents and any foreign-party security requirement still need review.
Is An Invoice Enough To Recover Payment?
Not necessarily. An invoice may support the claim, but the agreement, delivery or service records, payments and objections may also matter. It is not a guarantee of recovery.
Must We Obtain A Judgment First?
Not for every claim. Eligible money claims can begin through ordinary enforcement without a judgment. A timely objection stops the disputed enforcement and may require a further court procedure.
Does Every Payment Order Have A Seven-Day Objection Period?
No. The general seven-day rule concerns ordinary general enforcement without a judgment. Other procedures have different rules. Check the actual order and service record immediately.
Is Mediation Required Before Every Enforcement Filing?
No. It is a pre-action requirement for covered commercial lawsuits, including relevant objection-annulment claims. The actual claim and any exception must be assessed separately.
Can We Freeze Assets Before A Final Judgment?
Precautionary attachment may be available if the legal conditions are supported. Security, implementation and further proceedings may be required. The order does not guarantee that sufficient assets exist.
Can We Pursue A Director For A Company Debt?
Not merely because the person directs or owns the company. Personal liability needs a separate legal basis, such as a valid guarantee or another applicable obligation.
How Much Will Be Recovered And When?
No reliable amount or date can be promised before reviewing the claim and debtor. Even a successful judgment may not produce full payment. The proposed stages, costs and remaining risks should be explained clearly.
