BlogA foreign shareholder in a Turkish company may have rights to information, participation and legal remedies when a partner withholds records, misuses authority or blocks an agreed business plan. The available response depends on the company type, ownership structure, corporate documents and the conduct being challenged. An investment percentage alone does not tell you who can operate the bank account or bind the company.
The first objective is to separate the dispute into ownership, management, money and exit questions. That makes it possible to preserve rights without turning every disagreement into an accusation of fraud or a demand to close the business. A viable company may need protection from the dispute as much as the investor does.

1. What Rights Can a Foreign Shareholder Protect?
The starting point is whether the business is a limited company, a joint-stock company or another arrangement. The Turkish Commercial Code provides different mechanisms for information, management and shareholder decisions according to the company form. A remedy described for an anonymous company should not automatically be applied to a limited company.
Confirm the investor's legal position: registered shares, any completed transfer, capital paid and contractual rights under a shareholders' agreement. Money advanced as a shareholder loan is different from subscribed capital. An informal promise of a future share does not necessarily create the same corporate rights as an effective acquisition.
The desired result should then be defined. Access to records, reversal of a decision, recovery of money, a change in management and an exit each require a different analysis. A strongly worded demand is useful only if it is tied to the correct right and procedure.
2. Read the Corporate Record Before Contesting Control
Review the articles, trade-registry history, share records, manager or board appointments and current representation arrangements. Check whether signatures must be joint and whether a person is acting for the company or only as a shareholder. The familiar local contact may not be the person authorised to commit the business.
There is a practical change for newer companies. The Ministry of Trade's ETDS notice states that companies incorporated from 1 January 2026 must keep their share ledger and general assembly meeting and deliberation book electronically. The review should therefore check whether relevant records are electronic rather than asking only for a paper book.
Electronic recordkeeping does not itself make every shareholder a system user or replace statutory information procedures. Establish who controls the authorised account and how records can lawfully be obtained. Keep current filings separate from drafts, unsigned minutes and messages describing decisions that may never have been validly adopted.
3. What If Your Partner Refuses Information?
Information and inspection rights should be exercised through the appropriate corporate route. Article 614 addresses a limited-company partner's access to information about the company's affairs and accounts, while Article 437 provides the joint-stock company framework. The request, permitted limits and remedy for refusal are not identical.
A focused request should identify the records and the issue they address: related-party payments, a capital increase, the basis of a distribution decision or the company's financial position. Record the request and response. Repeated informal messages may show a disagreement without completing the legal steps needed for a remedy.
A refusal may lead to a company decision or court application, depending on the applicable provision. Some routes have short periods for action, so the date and form of the refusal matter. Preserve meeting notices and minutes rather than waiting until a proposed share sale has already been completed.
Inspection rights are not permission to take private credentials, export unrelated personal data or use confidential company material against its interests. If access is blocked, the solution should be a lawful information or evidence request, not an unauthorised entry into another person's account.
4. Company Funds, Shareholder Loans and Unpaid Profits
Separate company money from money owed personally to a shareholder. Capital contributions, loans, salary, dividends and reimbursement of expenses have different legal and accounting treatment. A profitable trading year does not automatically mean that a shareholder can withdraw a corresponding part of the bank balance.
If payments appear improper, identify the recipient, amount, purpose and approval record. A transfer to a related company may require examination, but the relationship alone does not prove wrongdoing. Conversely, a description entered into the accounts does not conclusively establish that a payment was authorised or commercially justified.
The proper claimant also matters. Loss suffered by the company may require a different claim from a direct debt owed to the investor. Legal and accounting review should work together to avoid demanding payment to the wrong person or counting the same loss twice.
Bank access follows the relevant mandate and authority, not merely the percentage of shares held. A shareholder should not assume they can unilaterally freeze the company's operations. Any urgent protective application needs a legal basis and should take account of legitimate trading obligations.
Need Clarity Before Confronting a Business Partner?
Legal Istanbul can review the records and identify which rights, deadlines and commercial options need attention.
5. Contested Decisions and Urgent Protection
A disputed meeting, capital increase or management decision should be assessed from the notice, agenda, attendance, voting record and applicable corporate rules. Disagreeing with the commercial result is not necessarily enough to invalidate it. The precise defect and the shareholder's right to challenge must be established.
Keep the date of the decision and the manner in which it became known visible. Different remedies have different conditions and periods; a settlement discussion does not automatically keep a challenge open. Counsel should identify the correct claim before a generic objection is sent.
Where there is concrete evidence of threatened asset disposal or destruction of records, interim protection or evidence preservation may be considered. Under the Civil Procedure Code, the request must fit the right being protected and the supporting facts. A court-appointed intervention or blanket restriction on trading is not automatic because the owners are in conflict.
6. Can You Leave the Company or Sell Your Shares?
The answer depends on company form, the articles, any shareholders' agreement and the transfer or exit mechanism. A limited-company share transfer can involve formal execution and approval requirements; a joint-stock share transfer raises different questions. A private promise to buy your stake should not be mistaken for a completed exit.
Where no agreed transfer is possible, statutory exit or dissolution remedies may be relevant, depending on the company and the facts. Dissolution is not a routine shortcut to receiving the amount originally invested. The court's available remedies and the economic consequences should be assessed before that route is chosen.
A proposed price should be tested against the company's actual position. Debt, shareholder loans, contingent liabilities and the valuation date can materially affect the bargain. Agree what information the valuation uses and what happens if a major liability emerges before completion.
7. Make the Settlement Work Beyond the Signature Page
An exit agreement should coordinate the share transfer, purchase price, management changes, filings, access credentials and document handover. If payment is deferred, consider security and the consequences of default. Transferring shares first in exchange for an unsecured promise can replace an ownership dispute with a collection dispute.
A release between partners does not necessarily release a guarantee given to a bank or resolve obligations to public authorities. Management duties, public debts, personal guarantees and earlier transactions should be checked separately. The shareholder should understand which exposure ends and which may remain.
For an investor abroad, the power of attorney and settlement authority deserve particular attention. Authority to negotiate should not be confused with authority to accept a price, waive claims or sign a transfer. Our power of attorney guide covers the general document options.
8. Discuss a Shareholder Dispute with Legal Istanbul
Legal Istanbul can assess the corporate record and distinguish information, control, payment and exit issues. The proposed work may involve a focused information request, review of a contested decision, settlement terms or proceedings where appropriate.
Start with the company name and type, your shareholding, the main disagreement and any upcoming meeting or transfer. State whether you hold a management role or have given a personal guarantee. Sensitive company and accounting records can then be shared through an agreed channel.
The aim is a practical route supported by the documents, with urgent rights protected while the commercial options remain clear. For the underlying governance structure, see our company formation guide; for separate payment claims, see debt collection in Turkey.

9. FAQ
Can a foreign shareholder enforce rights in a Turkish company?
Yes, subject to the company form, legal shareholding and applicable procedures. The available information, participation and court remedies should be identified from the corporate record.
Does owning half the company give me control of its bank account?
Not automatically. Account access and representation depend on mandates and management authority. Ownership, voting rights and signing authority are separate questions.
Can I demand accounting information from my partner?
The Commercial Code provides information and inspection mechanisms, with different rules for limited and joint-stock companies. The request and remedy for refusal should follow the applicable procedure.
Are company books always kept on paper?
No. Companies incorporated from 1 January 2026 must keep specified share and general assembly books through ETDS under the Ministry's rules. The applicable recordkeeping format and lawful access arrangements should be checked.
Can I withdraw my share of company profits from the account?
Not simply because you own shares or the business appears profitable. Distribution rules, decisions and the accounts matter. Shareholder loans and declared dividends should also be distinguished from company funds.
Can a court stop a disputed company transaction?
Interim protection may be available where the legal conditions and evidence support it. The measure must fit the right and risk; an ownership disagreement alone does not guarantee a restriction.
Can I sell my shares without the other partner's agreement?
That depends on the company form, articles and applicable transfer requirements. Any approval, formal execution or contractual restriction should be checked before accepting a buyer's offer.
Does leaving the company release my personal guarantees?
Not automatically. A release between shareholders may not bind a bank or other third party. Guarantees, management exposure and public-debt issues need separate review.
Can the dispute be handled while I live abroad?
Appropriate representation can cover agreed requests, negotiations and proceedings. The power of attorney should clearly address any settlement or transfer authority, and urgent corporate deadlines must still be monitored.
